Acceptance of agreement

These Terms of Service (this "Agreement") constitute a legally binding contract between you and Aneko, Inc. ("ANEKO," "we," "our," or "us") governing your access to and use of the aneko.ai website and any related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by this Agreement. If you do not agree, do not access or use the Services.

Description of Services

ANEKO provides AI-powered revenue execution infrastructure for healthcare organizations. Our Services include our website, marketing materials, and software tools designed to help health systems recover lost imaging revenue by automating workflows from referral to bill. Access to certain features may require a separate enterprise agreement.

Eligibility

You must be at least 18 years old and have the legal authority to enter into this Agreement on behalf of yourself or the organization you represent. By using the Services, you represent and warrant that you meet these requirements.

User Responsibilities

When using our Services, you agree to:

• Provide accurate and complete information when submitting forms or booking calls
• Use the Services only for lawful purposes and in accordance with this Agreement
• Not attempt to gain unauthorized access to any portion of the Services or any systems connected to the Services
• Not use the Services to transmit any malicious code, viruses, or harmful content
• Not reproduce, distribute, or create derivative works from any content on the Services without prior written consent

Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, software, and the ANEKO brand, are the exclusive property of Aneko, Inc. or its licensors and are protected by United States and international copyright, trademark, patent, and other intellectual property laws. You may not use, reproduce, or distribute any content from the Services without our prior written permission.

Enterprise Services

Use of ANEKO's enterprise software, including AI-powered workflow automation and healthcare data processing, is governed by a separate Enterprise Agreement and Business Associate Agreement (BAA) between Aneko, Inc. and the subscribing healthcare organization. This Agreement governs use of the public-facing website and marketing materials only.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ANEKO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. ANY METRICS, STATISTICS, OR PERFORMANCE CLAIMS REFERENCED ON THE SERVICES ARE BASED ON INDUSTRY RESEARCH AND INTERNAL ANALYSIS AND ARE NOT GUARANTEES OF SPECIFIC RESULTS.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ANEKO, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR INFORMATION.

Indemnification

You agree to indemnify, defend, and hold harmless Aneko, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services or your violation of this Agreement.

Third-Party Links

The Services may contain links to third-party websites or services that are not owned or controlled by Aneko, Inc. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that ANEKO shall not be responsible or liable for any damage or loss caused by or in connection with your use of any such third-party content or services.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction of such courts.

Changes to this agreement

We reserve the right to modify this Agreement at any time. If we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Services after any changes constitutes acceptance of the revised Agreement. We encourage you to review this Agreement periodically.

Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
